Terms of Use

1. Definitions

For the purposes of these Terms:

• "Platform" refers to the First Three web application, APIs, and all related services
• "User", "You", or "Your" refers to any individual or entity accessing or using the Platform
• "We", "Us", or "Our" refers to First Three Inc. and its affiliates
• "Content" refers to any text, images, videos, scripts, analytics, or other materials generated, uploaded, or displayed through the Platform
• "AI Features" refers to our machine learning-powered tools including script generation, ad analysis, creator scoring, and content recommendations

2. Eligibility

To use First Three, you must meet the following criteria:

• Be at least 18 years old or the age of majority in your jurisdiction
• Have the legal authority to bind the entity you represent (if registering on behalf of a company)
• Not be prohibited from using the Platform under applicable laws or regulations
• Provide accurate and complete registration information

3. Account Registration & Security

When you create an account on First Three, you agree to the following responsibilities:

• Maintain the confidentiality of your login credentials and not share access with unauthorized individuals
• Notify us immediately at support@firstthree.io if you suspect unauthorized access to your account
• Keep your account information accurate and up-to-date
• Accept responsibility for all activities that occur under your account
• Not create multiple accounts for the same entity without prior authorization

4. Permitted Use

First Three grants you a limited, non-exclusive, non-transferable, revocable license to use the Platform for your internal business purposes. You agree to use First Three only for:

• Managing and analyzing influencer marketing campaigns for your brand or authorized clients
• Generating AI-powered scripts and content briefs for legitimate marketing purposes
• Analyzing ad performance data from connected Meta Ads accounts you own or are authorized to manage
• Evaluating and scoring creators using our quantitative scoring framework
• Tracking campaign ROAS and performance metrics

5. Prohibited Conduct

You agree not to engage in any of the following activities:

• Use the Platform to generate misleading, defamatory, or illegal content
• Scrape, reverse-engineer, or attempt to extract the underlying AI models, algorithms, or source code
• Access Meta Ads accounts or data without proper authorization from the account owner
• Resell, sublicense, or redistribute First Three services or AI-generated outputs to third parties as a standalone service
• Interfere with the Platform's infrastructure, security, or other users' access
• Use automated bots or scripts to interact with the Platform outside of our approved APIs
• Violate any applicable laws, regulations, or third-party rights through your use of the Platform
• Attempt to bypass usage limits, subscription tiers, or access controls

6. AI-Generated Content

First Three provides AI-powered features to assist your marketing efforts. Regarding AI-generated content:

• AI-generated scripts, briefs, and recommendations are provided as suggestions — you are responsible for reviewing and approving all content before use
• We do not guarantee the accuracy, effectiveness, or suitability of AI-generated content for your specific use case
• You retain ownership of the final content you create using our AI tools, subject to our license to improve the Platform
• AI outputs may occasionally contain errors or biases — you assume responsibility for fact-checking and compliance
• Our RAG models learn from aggregated usage patterns but your individual data is never used to train models for other customers
• You must comply with applicable advertising laws and platform policies when using AI-generated content in campaigns

7. Meta Ads Integration

First Three offers native integration with Meta (Facebook/Instagram) advertising platforms. By connecting your Meta Ads account:

• You authorize First Three to access your ad account data including campaigns, ad sets, creatives, and performance metrics
• You represent that you have the necessary permissions and authority to grant this access
• You acknowledge that Meta's own Terms of Service and advertising policies continue to apply
• We are not responsible for changes to Meta's API, data availability, or platform policies that may affect our integration
• You can revoke Meta integration access at any time through your First Three account settings

9. Subscription & Payments

First Three operates on a subscription-based model. The following terms apply:

• Subscription fees are billed in advance on a monthly or annual basis as selected during signup
• All fees are non-refundable except as required by law or as specified in our refund policy
• We reserve the right to change pricing with 30 days' notice before the next billing cycle
• Failure to pay may result in suspension or termination of your account access
• Free trials, if offered, automatically convert to paid subscriptions unless cancelled before the trial ends
• Downgrades take effect at the end of the current billing period

10. Limitation of Liability

To the maximum extent permitted by applicable law:

• First Three is provided "as is" and "as available" without warranties of any kind, express or implied
• We do not guarantee uninterrupted, error-free, or secure access to the Platform
• We are not liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability for any claims arising from your use of First Three shall not exceed the fees you paid in the 12 months preceding the claim
• We are not responsible for decisions made based on AI-generated recommendations or ad performance predictions
• We are not liable for losses resulting from third-party integration failures, including Meta API outages

11. Indemnification

You agree to indemnify and hold harmless First Three, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from:

• Your violation of these Terms of Use
• Your use of the Platform, including AI-generated content used in marketing campaigns
• Infringement of any third-party rights through your use of the Platform
• Any content you upload, create, or distribute using First Three
• Unauthorized access to Meta Ads accounts connected through your First Three account

12. Termination

Either party may terminate the relationship under the following conditions:

• You may cancel your subscription and close your account at any time through your account settings
• We may suspend or terminate your access for violation of these Terms, with notice where practicable
• We may discontinue the Platform or any feature with 60 days' notice
• Upon termination, your right to use the Platform ceases immediately
• You may request an export of your data within 30 days of account termination
• Sections on Intellectual Property, Limitation of Liability, and Indemnification survive termination

13. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or your use of First Three shall be resolved through:

• Good-faith negotiation between the parties for a period of 30 days
• If negotiation fails, binding arbitration under the rules of the Indian Arbitration and Conciliation Act
• The arbitration shall take place in Bangalore, India
• Each party shall bear its own costs of arbitration unless the arbitrator directs otherwise

14. Changes to These Terms

We may update these Terms of Use from time to time. Material changes will be communicated through email notification or a prominent notice on the Platform at least 30 days before taking effect. Continued use of First Three after changes become effective constitutes acceptance of the updated terms.
